End User Terms of Service

Terms governing your use of the Ongo Audit mobile application, web app, and associated services as an Authorized User.

These End User Terms of Service (the “User Terms”) govern your access to and use of the Ongo Audit mobile application, web app, and associated services (the “Services”).

If an organization (your employer, a contracting party, or another entity, the “Customer”) has authorized you to use the Services, these User Terms apply to you as an end user. These User Terms form a binding agreement between you (“you”, “your”, or “User”) and the Applicable Taskworld Entity (“Taskworld”, “we”, “us”). The “Applicable Taskworld Entity” is the entity within the Taskworld group that has contracted with your Customer for the Services, as identified in the Customer’s Order Form or Customer Agreement. By installing, signing into, or using the App, you confirm that you have read, understood, and agree to be bound by these User Terms.

1.1 Eligibility. You must be at least 18 years of age to use the Services. By accepting these User Terms, you confirm that (i) you are at least 18, (ii) you have not previously been suspended or removed from the Services, and (iii) your registration and use of the Services comply with all applicable laws and regulations.

1.2 Account registration. Access to the Services requires an account. The Customer typically creates accounts on your behalf using your work email. You may sign in with a magic link sent to that email or with a password. You agree that the information associated with your account is accurate and you will keep it accurate. You are solely responsible for maintaining the confidentiality of your account and credentials and for all activities that occur under your account. If you believe your account is no longer secure, notify us immediately at support@taskworld.com.

1.3 Customer relationship. The Customer has agreed separately to our Customer Terms of Service or entered into a written agreement with us (the “Customer Agreement”) that allows the Customer to grant access to the Services to its employees, contractors, and agents (each, an “Authorized User”). As between the Customer and Taskworld, you agree that it is solely the Customer’s responsibility to (a) inform you of any policies, settings, and practices that may affect the processing of User Content (defined below), (b) obtain any rights, permissions, or consents needed for lawful use of the Services, (c) ensure transfer and processing of User Content under these User Terms is lawful, and (d) resolve any dispute with you relating to User Content, the Services, or the Customer’s failure to fulfill these obligations.

1.4 User Content. The Services allow you to submit content including form responses, photos, geolocation, comments, incident reports, corrective actions, and other materials (collectively, “User Content”). You acknowledge that the Customer retains rights in User Content that you submit through the Services in the course of your work for the Customer.

  1. License to Taskworld. By submitting User Content, you grant Taskworld a worldwide, non-exclusive, royalty-free license (with the right to sublicense to our service providers) to host, store, transmit, display, and process User Content as necessary to provide the Services.

  2. License to other users. By submitting and sharing User Content with other Authorized Users, you grant those users a non-exclusive license to access and use that User Content as permitted by these User Terms and the functionality of the Services.

  3. Representations. You are responsible for your User Content. By submitting User Content, you represent and warrant that (i) you have the rights, consents, and permissions necessary to submit it and to authorize Taskworld and other Authorized Users to use it as contemplated here, and (ii) the User Content does not infringe, violate, or misappropriate any third-party right, including intellectual property, privacy, or publicity rights.

  4. Disclaimer. Taskworld is under no obligation to edit or control User Content and is not responsible or liable for it. We may at any time, without prior notice, remove, edit, or block any User Content that, in our sole judgment, violates these User Terms or is otherwise objectionable. You waive any claim against Taskworld with respect to User Content.

1.5 Geolocation and photo capture. Certain audit and inspection features can record geolocation (latitude and longitude) and photos taken with the device camera as part of a form submission. By using these features, you understand that:

  1. Geolocation is captured only when you explicitly tap the “Capture location” control within a form, and only in the foreground. The App does not track your location continuously or in the background, and only requests “while in use” location permission.

  2. When you capture your location, latitude and longitude are recorded together with the timestamp and accuracy of the reading, and shared with the Customer and any Authorized Users with appropriate access. The Customer may use these readings to verify that an inspection was performed at the correct site.

  3. Photos taken in the App are uploaded to the Customer’s tenant and may be reviewed by the Customer’s managers, supervisors, and auditors.

  4. Whether geolocation and photo capture are required, optional, or disabled is configured by your Customer on a per-form basis.

  5. Your employer (the Customer) is responsible for ensuring that the configuration of these features is consistent with your employment agreement and applicable law, and for providing any notice or obtaining any consent required from you.

1.6 Prohibited conduct. By using the Services you agree not to:

  1. use the Services for any illegal purpose or in violation of any applicable law;

  2. infringe or misappropriate any third-party right, including intellectual property rights;

  3. submit any User Content that is unlawful, defamatory, harassing, threatening, hateful, fraudulent, or that contains malware;

  4. interfere with security-related features of the Services, including by reverse engineering, decompiling, or attempting to derive source code, except where permitted by law;

  5. interfere with the operation of the Services, including by uploading malicious code, sending unsolicited messages, attempting to collect personal information about other users without consent, or disrupting servers or networks used to provide the Services;

  6. impersonate any person or entity, falsely claim affiliation, or access another user’s account without permission;

  7. sell, lease, or transfer your access to the Services or any Materials (defined in 1.10);

  8. attempt to do any of the foregoing or assist others in doing so.

1.7 Third-party services and links. The Services may include links to or integrations with third-party services. Such third-party services are not under Taskworld’s control, and we are not responsible for their content, terms, or privacy practices.

1.8 Software.

  1. Distributors. To download the App you may need to create an account with the App Store (Apple), Google Play (Google), or another distributor. Your use of such accounts is subject to the distributor’s own terms and privacy policies. Taskworld is not responsible for the acts or omissions of any distributor.

  2. License. Subject to your compliance with these User Terms, Taskworld grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App for its intended purpose and in accordance with the documentation we provide. You may not modify, distribute, prepare derivative works of, decompile, disassemble, or reverse engineer the App.

  3. Access costs. You are responsible for any data, mobile, or carrier fees incurred to access the Services.

1.9 Termination; modification of the Services. If you violate any provision of these User Terms, your permission to use the Services terminates automatically. Taskworld may also, at its sole discretion, terminate your account or suspend your access at any time, with or without notice, and may modify or discontinue the Services at any time without notice. We have no liability for any change to or discontinuation of the Services. You may terminate your account at any time by contacting support@taskworld.com or by asking your Customer’s administrator to remove your account.

1.10 Privacy Policy and additional terms. Our Privacy Policy is incorporated into these User Terms by reference. Your use of the Services is also subject to any additional terms or guidelines we post for specific features.

1.11 Modification of these User Terms. We may change these User Terms from time to time. If a change materially modifies your rights or obligations, we will require you to accept the modified terms before continuing to use the Services. Immaterial modifications are effective upon publication. Disputes are resolved under the User Terms in effect at the time the dispute arose.

1.12 Ownership. The Services are owned and operated by Taskworld. The visual interfaces, graphics, design, code, products, software, and all other elements of the Services (the “Materials”) are protected by intellectual property and proprietary rights and applicable laws. Except as expressly authorized, you may not use the Materials. All rights not expressly granted are reserved.

1.13 Disclaimer of warranties. The Services are provided “AS IS” and “AS AVAILABLE.” Taskworld disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or trade practice. Taskworld does not warrant that the Services will be uninterrupted, error-free, or secure, or that they will satisfy any legal or regulatory obligations applicable to you or the Customer.

1.14 Limitation of liability. In no event will Taskworld be liable under or in connection with these User Terms under any legal theory for any (a) consequential, incidental, indirect, exemplary, special, or punitive damages, (b) lost business, production, revenues, or profits, (c) loss of goodwill or reputation, (d) loss of data or breach of data security, or (e) cost of replacement goods or services, regardless of whether Taskworld was advised of the possibility of such losses. Taskworld’s aggregate liability arising out of or related to these User Terms will not exceed US$100.

1.15 Severability. If any provision is invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.

1.16 Assignment. You may not assign your rights or delegate your obligations under these User Terms without Taskworld’s prior written consent. Any attempted assignment in violation of this section is null and void.

1.17 Contracting entity, governing law, and disputes. These User Terms are entered into with the Applicable Taskworld Entity. The Applicable Taskworld Entity, the governing law, the jurisdiction, and the dispute-resolution venue (including any arbitral institution and seat) applicable to your use of the Services are those identified in the Customer Agreement or Order Form between your Customer and the Applicable Taskworld Entity. Where these User Terms are presented to you in-App without a separately identified Customer Agreement, the contracting entity, governing law, and venue applicable to your Customer’s region (as determined by the Applicable Taskworld Entity) will apply. The language of these User Terms is English.

1.18 Entire agreement. These User Terms, together with the Privacy Policy and any documents incorporated by reference, constitute the entire agreement between you and Taskworld with respect to the Services. In the event of conflict between these User Terms and the Customer Agreement, the Customer Agreement controls. Non-English translations are provided for convenience; the English version is authoritative.
